Please read these terms carefully before using our platform.

Welcome to Xlancr. These Terms and Conditions ("Terms") govern your access to and use of the platform, website, and services operated by Xlancr Infotech Private Limited ("Xlancr", "we", "us", or "our"). By creating an account or using any part of our Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

1. Acceptance of Terms

By accessing or using Xlancr, you agree to be legally bound by these Terms. If you do not agree to any part of these Terms, you must immediately discontinue use of the Service. These Terms apply to all visitors, registered users, freelancers, clients, and any other persons who access or use the platform.

2. Eligibility & Account Registration

You must be at least 18 years of age to independently register and use the platform. Users who are minors may access the platform for KYC purposes only, with the assistance of a parent or legal guardian as required under the applicable verification flow. By registering, you represent and warrant that:

  • All information you provide during registration is accurate, complete, and current.
  • You will maintain the security of your account credentials and promptly notify us of any unauthorised use.
  • You will not share your account with any third party.
  • You are legally permitted to enter into binding contracts in your jurisdiction.

3. User Conduct & Community Standards

All users are expected to maintain professional and lawful conduct on the platform at all times. The following conduct is strictly prohibited and may result in account suspension, suppression, or permanent termination depending on the nature and frequency of the violation:

  • Soliciting, encouraging, or attempting to conduct business, communication, or payment with any other user outside of the Xlancr platform.
  • Engaging in hostile, abusive, harassing, defamatory, discriminatory, or otherwise harmful behaviour toward other users or the platform.
  • Uploading, sharing, or transmitting obscene, vulgar, explicit, or otherwise inappropriate content through any part of the platform.
  • Sharing personal contact information — such as email addresses, phone numbers, or social media handles — in any public or semi-public field of the platform.
  • Attempting to circumvent platform policies, security systems, payment flows, or fee structures by any means.

4. User Profile & Identity

Your profile is your professional identity on Xlancr. The following requirements apply to all profile fields:

  • All mandatory profile fields must be completed accurately before you may access the work-related features of the platform.
  • Profile content must not contain profanity, gibberish, or any form of obscene material. Profiles reported for such content will be locked pending review.
  • Profile pictures must be professional and appropriate. Uploading vulgar or explicit images will result in an immediate account lock.
  • Uploaded résumés, portfolios, or supporting documents must be relevant and professional. Irrelevant or inappropriate documents may result in account suppression and loss of vetting privileges pending clarification.
  • No personal contact information — including email addresses, phone numbers, or financial details — may be included in any profile field.

5. Vetting & Platform Accreditation

Xlancr offers a voluntary vetting process that grants freelancers an accredited status visible to clients. The following rules govern this process:

  • All mandatory fields in the vetting application must be completed fully and accurately. Incomplete applications will be denied; three consecutive denials will result in an account flag.
  • Applications containing spam, vulgar content, or inaccurate information will be cancelled and the account suspended from further vetting applications.
  • Only the official platform-provided application form may be submitted; unsolicited or alternative submissions will not be considered.
  • Vetted status may be revoked if the account is the subject of a credible report or if the user is found to have violated these Terms.
  • Xlancr reserves the right to revoke vetted status at its sole discretion following review.

6. KYC & Identity Verification

To access the work and payment features of the platform, all users must complete a mandatory Know Your Customer (KYC) verification process. The following conditions apply:

  • Users must provide a valid government-issued identity document as required by the applicable verification flow (Aadhaar card and/or PAN card).
  • Minor users will be prompted to provide their own Aadhaar card together with a PAN card belonging to a parent or legal guardian for cross-verification purposes.
  • Submission of fraudulent, tampered, or irrelevant documents will result in immediate account suspension and may be reported to the relevant authorities.
  • By submitting your documents, you expressly consent to Xlancr accessing those documents for identity verification and dispute resolution purposes.
  • A masked version of your PAN number may be included in contracts generated on the platform.

7. Bank Account Verification & Financial Setup

Users must link and verify a valid bank account before accessing paid work features. The following terms apply:

  • Verification is conducted through a penny-drop process, to which users must expressly consent prior to initiation.
  • Users are permitted up to five (5) failed verification attempts; exceeding this limit will result in the account being flagged, requiring contact with our support team.
  • Bank account changes are subject to a penny-drop re-verification and are limited to three (3) to five (5) changes per account; exceeding this cap will trigger an account flag.
  • Freelancers registered with a valid GST number are required to verify their GST certificate to receive applicable GST benefits on the platform.
  • All funds disbursed through the platform will be transferred exclusively to the verified bank account on record.

8. Project Listings

The following rules govern the creation and management of project listings on the platform:

  • Project listings must not contain vulgar, obscene, misleading, or spam content. Violations will result in account suspension.
  • A minimum project value of ₹2,500 applies to all listings. Users seeking assistance with projects below this threshold may contact Xlancr directly.
  • A user may not maintain more than one active project listing at any given time.
  • Listings that fail to meet a minimum content completeness threshold of 40% will not be published; listings below 60% may be suppressed by the platform.
  • Listings that receive five (5) or more reports will be frozen pending review; ten (10) or more reports will result in deletion with notice to the account holder.
  • Repeated violations may result in a one-week posting suspension, escalating to a permanent ban for continued offences.
  • Project listings may be withdrawn prior to the commencement of negotiations. More than three (3) such withdrawals will result in account suppression.
  • Withdrawal after negotiations have commenced will result in a three-day posting suspension unless a satisfactory reason is provided to the platform.
  • Draft listings are stored indefinitely; however, the project timeline will only commence upon official project start.

9. Proposals & Bidding

Freelancers submitting proposals must adhere to the following:

  • Proposals must not contain obscene, vulgar, or misleading content, or any personal contact information. Violations will result in account suspension.
  • Bid amounts must not deviate from the listed project budget by more than 20–30% (subject to project scale). Attempts to circumvent this range — including embedding pricing in the proposal description — will result in account suppression.
  • A freelancer may not maintain more than five (5) active project bids at any time. Existing bids must be withdrawn to accommodate new ones beyond this limit.
  • Freelancers must only apply to listings within their declared domain of expertise.
  • Client listings accept up to twelve (12) bids, of which two (2) slots are reserved for platform-vetted freelancers.
  • If a client rejects four (4) bids, additional bid slots will become available to other freelancers.
  • Unopened bids that receive no activity within four (4) days will be automatically deleted.
  • A client may only accept one bid; the first accepted bid is considered final.

10. Negotiations

Once a client initiates negotiations with a freelancer, the following terms govern the negotiation process:

  • Neither party may share personal or financial contact details during negotiations. Violations will result in account suspension.
  • If the client accepts the freelancer's offer without entering into negotiation, the milestones and terms provided in the proposal will be automatically incorporated into the contract.
  • Negotiations may cover project budget, timelines, and milestones; any outcome agreed upon during this process is binding.
  • Withdrawal from negotiations by the client will result in account suppression and a three-day project posting suspension.
  • Withdrawal from negotiations by the freelancer will result in an account flag; repeated withdrawals may result in a permanent ban.
  • Users may not submit spam, vulgar, or bad-faith offers. All negotiation interactions are logged and processed by the platform's AI assistant for record-keeping and support purposes.

11. Contracts

Following the successful conclusion of negotiations, the following terms apply:

  • Neither party may withdraw from the agreement or accept bids from other users once negotiations are concluded. Doing so will result in account flagging and suppression.
  • The contractual terms agreed upon during negotiations are final. Requests for changes must be submitted to the support team.
  • If either party fails to sign the contract within four (4) days, the offer will become null and void.
  • Upon contract execution, the client must process the initial escrow payment within one (1) business day. Failure to do so may result in account suspension or permanent ban.

12. Payment & Escrow

All payments on the Xlancr platform must be processed exclusively through the platform's designated Payment Aggregator and Payment Gateway (PAPG). The following rules apply:

  • No payment may be requested, solicited, or made outside of the platform's PAPG. Any user found soliciting or facilitating off-platform payments will have their account suppressed and may be permanently banned.
  • No user may request payment prior to the completion of the contract signing process, whether through negotiations, a project listing, or any other means. Violations will result in bid or listing removal and a formal warning; repeated offences will result in a permanent ban.
  • No user may share banking details, QR codes, UPI IDs, or any payment information through any user-facing communication on the platform.
  • Escrowed funds will be released to the freelancer's verified bank account only upon official project completion or in accordance with a dispute resolution decision.
  • By accepting these Terms, you acknowledge and agree to the service fees and commission charged by Xlancr for its services.
  • For projects below ₹5,000, UPI is the preferred payment method. For all projects above ₹5,000, any supported payment mode is acceptable.
  • If both parties abandon the platform following escrow funding without either party reporting the other, all held funds will be forfeited to the platform and both accounts will be permanently banned.
  • Chargebacks may not be exploited or abused. Any illegitimate chargeback activity will result in account suspension.

13. Payment Delays

The following escalation framework governs payment delays at various stages of the project lifecycle:

  • Initial payment after contract signing: If the client does not process the initial payment within three (3) days of signing, the client's account will be flagged and notified. Non-payment beyond five (5) days will result in automatic termination of the contract request.
  • Client accounts that accumulate two (2) such delay instances will receive a formal warning; three (3) instances will result in account suspension.
  • Milestone payments: If a milestone payment is delayed by three (3) days, the freelancer may raise a formal warning. Delays of five (5) days entitle the freelancer to initiate a formal dispute. Delays of seven (7) days will result in the project being paused pending resolution.
  • Freelancers may withhold work and decline to commence subsequent milestones until all outstanding payments are received.
  • Clients with a legitimate reason for a delay must communicate that reason to Xlancr via the support or ticketing system. Unaddressed delays will be treated as defaults.
  • Multiple payment delays by a client will result in progressive account suppression.

14. Project Execution & Milestone Management

During the project execution phase, the following rules apply to both parties:

  • Both parties may use the platform's integrated meeting tools to discuss project requirements; all parties are expected to maintain professional decorum during such meetings.
  • All agreed deliverables and milestones as specified in the signed contract will be displayed within the project workspace and are binding.
  • No additional work beyond the agreed project scope may be demanded by the client without the creation of a new, separately compensated milestone. Clients found to be scope creeping will have their account flagged and suspended on repeated offences.
  • The client has forty-eight (48) hours to review and confirm or reject a milestone submission. Failure to respond within this period will trigger a platform inquiry.
  • Checklists within the platform are personal task-management tools and do not constitute milestone progress; milestone completion is determined solely by the freelancer's submission and the client's formal approval.
  • Users may not upload or distribute vulgar, explicit, or inappropriate content through the chat, checklist, or any other feature of the platform.
  • File uploads are limited to 5 MB per file.
  • If a party fails to respond to their checklist responsibilities for more than three (3) days, the other party may issue a nudge and, if unresolved, escalate the matter to a formal dispute.

15. Dispute Resolution

Xlancr provides an internal dispute resolution mechanism governed by the following framework:

  • Disputes may be raised in connection with scope creeping, quality of work, payment delays, or fraud-related conduct.
  • Upon resolution of a dispute, the escrowed funds will be released to the party deemed to be in the right by Xlancr's resolution team.
  • Raising disputes frivolously or in bad faith will result in account suppression.
  • Cases involving confirmed explicit content violations or fraud will result in immediate account termination.
  • Where a client raises a dispute, the freelancer must pause work and focus on resolving the matter.
  • Xlancr's dispute resolution team acts as mediator and its decisions are final and binding on both parties.

16. Invoicing & Financial Records

The Finance section of the platform provides access to all invoicing and tax-related documentation. The following applies:

  • All payment statuses and invoices are accessible through the Finance section, each assigned a unique invoice identifier.
  • Invoices for GST-registered users will include applicable GST computations.
  • Invoices must not contain personal identifying information, profanity, or vulgar content. Any violation of this rule will result in a permanent account ban.
  • Once an invoice has been submitted, it cannot be amended; a new invoice must be raised for any corrections.
  • GST invoices relating to Xlancr's own service fees and TDS certificates will also be stored and accessible within the Finance section.
  • For any invoice-related queries or discrepancies, users must contact the Xlancr support team.

17. Limitation of Liability

To the fullest extent permitted by applicable law, Xlancr, its directors, employees, partners, agents, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including, without limitation, loss of profits, data, goodwill, or other intangible losses — arising out of or in connection with your access to or use of, or inability to access or use, the Service. Xlancr's total aggregate liability for any claim arising under these Terms shall not exceed the amount of fees paid by you to Xlancr in the three (3) months preceding the event giving rise to the claim.

18. Governing Law & Amendments

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in India. Xlancr reserves the right to amend these Terms at any time by publishing the revised version on this page. Continued use of the platform following the publication of updated Terms constitutes your acceptance of those changes.
